Terms of Service

These Terms of Service ("Terms") govern your use of InvoicePro AU ("the App"), a Shopify app provided by Josiah O'Keeffe, sole trader, ABN 12 385 144 036, trading as Plyth ("Plyth", "we", "us"), based in Queensland, Australia.

By installing or using the App, you agree to these Terms. If you do not agree, do not install the App, or uninstall it from your Shopify store.

1. The service

The App automatically generates Australian Taxation Office-compliant tax invoices for paid orders on your Shopify store and (at your option) emails those invoices to your customers. It also provides Business Activity Statement (BAS) export functionality (CSV and bundled PDF downloads).

We follow ATO guidance for tax invoice content. You remain responsible for the accuracy of business details you enter (business name, ABN, GST registration status, address) and for ensuring that the invoices you issue meet your own tax and reporting obligations. The App is not a substitute for professional accounting or tax advice.

The App is offered on subscription plans (Free, Starter, Growth, and Scale) priced in USD. All billing is processed through Shopify's Billing API; we do not collect or store your payment information.

New installations include a free trial period (currently 7 days). At the end of the trial, your selected plan's monthly subscription will begin via Shopify Billing unless you cancel beforehand.

You can change plans or cancel at any time from within the App or from your Shopify admin. Charges already incurred are non-refundable except where required by law (including non-excludable rights under the Australian Consumer Law).

Our handling of personal data is described in our Privacy Policy. You are the controller of your customers' data and must ensure you have a lawful basis to share that data with us so that we can generate and deliver invoices on your behalf.

6. Service availability

We work to keep the App available but do not guarantee uninterrupted service. We may perform maintenance, modify features or apply updates at any time. We may suspend or terminate access if you breach these Terms or pose a risk to the service or other users.

7. Intellectual property

The App, including its code, design, branding and documentation, is owned by Plyth. These Terms do not transfer any ownership rights. You retain ownership of your business data and the invoices the App generates for you.

8. Disclaimers

To the maximum extent permitted by law, the App is provided "as is" without warranty of any kind. We do not warrant that the App will be error-free, accurate or fit for any particular purpose. The App is a tool to assist with invoice generation; it is not legal, accounting or tax advice.

Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy that you have under the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)) which cannot be excluded, restricted or modified.

9. Liability

To the maximum extent permitted by law, our total liability arising out of or in connection with the App is limited to the amount you paid us for the App in the three months immediately preceding the event giving rise to the liability.

We are not liable for indirect, consequential, special or incidental loss, including loss of profit, loss of data, or loss of goodwill, except where such liability cannot be excluded by law.

10. Termination

You may stop using the App at any time by uninstalling it from your Shopify store. We may terminate or suspend your access to the App at any time, with or without notice, for breach of these Terms or where required by law.

On termination, the licence granted to you to use the App ends. Sections concerning intellectual property, disclaimers, liability, and governing law survive termination.

11. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page will reflect the most recent change. Material changes will be notified inside the App. Continued use of the App after a change constitutes acceptance of the updated Terms.

12. Governing law

These Terms are governed by the laws of Queensland, Australia. The courts of Queensland have non-exclusive jurisdiction over any dispute arising under these Terms.
